The terms governing access to Cleverfind's stock research, portfolio analytics, broker integrations, and AI-assisted services in India.
Agreement and electronic record
These Terms of Service form a binding agreement between you and the operator of Cleverfind when you access or use cleverfind.in, create an account, or use any Cleverfind feature. If you do not agree, do not use the service.
These Terms are an electronic record under the Information Technology Act, 2000 and applicable rules. They do not require a physical or digital signature. The Privacy Policy, Investment Disclaimer, AI Usage and Limitations Policy, Data Security Policy, and Refunds and Cancellation Policy are incorporated by reference.
Eligibility and territory
You must be at least 18 years old, be legally capable of entering a contract, and not be prohibited from using the service under applicable law. Cleverfind is designed primarily for users researching Indian listed equities. You are responsible for determining whether access is lawful in your location.
You may use Cleverfind only for yourself or an organisation you are authorised to represent. You must provide accurate, current information and promptly correct material changes.
Nature of the service
Cleverfind is an information and analytics service. It is not a substitute for your own assessment or advice from an appropriately registered professional.
Cleverfind provides software tools that organise company information, support research conversations, and help users view and analyse portfolio data. Features, coverage, data sources, limits, and availability may change as the service develops.
Cleverfind does not execute securities transactions, receive or hold client funds or securities, open or operate demat or trading accounts, or control your broker account. Any trade or investment action occurs outside Cleverfind through a third party selected by you.
Regulatory status and no advice
Cleverfind is not represented as a stockbroker, investment adviser, research analyst, portfolio manager, exchange, depository, or depository participant registered with the Securities and Exchange Board of India. Nothing in the service is a personalised recommendation, research report, solicitation, offer, fiduciary service, or instruction to buy, sell, subscribe to, or hold a security.
You remain solely responsible for evaluating suitability, risk, liquidity, tax, price, and timing before acting. Consult a SEBI-registered investment adviser, registered research analyst, tax adviser, or other qualified professional where appropriate.
Accounts and security
We may require re-authentication, revoke sessions, restrict a feature, or temporarily suspend an account where reasonably necessary to protect users, investigate misuse, comply with law, or maintain service integrity.
- Keep your device, email, mobile number, authentication method, and active sessions secure.
- Do not share passwords, broker credentials, trading PINs, one-time passwords, or access to your Cleverfind account.
- Notify us promptly if you suspect unauthorised access, impersonation, or misuse.
- You are responsible for activity performed through your account unless applicable law requires otherwise.
Broker connections and files
When you connect a supported broker or upload a supported statement, you authorise Cleverfind to access and process the data needed for the feature you requested. You represent that the account or file belongs to you or that you have lawful authority to use it.
Broker integrations depend on third-party interfaces, permissions, data formats, and availability. A connection may expire or fail and may require reauthorisation. Disconnecting a broker does not close your broker account or reverse any action taken outside Cleverfind.
You must not upload malware, unlawfully obtained data, another person's statement, or a file containing unnecessary sensitive information. Cleverfind may reject or delete unsupported or unsafe files.
Acceptable use
- Do not violate law, regulation, intellectual-property rights, privacy rights, contractual restrictions, or third-party platform terms.
- Do not attempt unauthorised access, probe security, bypass limits, scrape at scale, reverse engineer protected elements, interfere with operation, or introduce malicious code.
- Do not use Cleverfind to manipulate markets, disseminate unlawful tips, mislead investors, impersonate a regulated intermediary, or facilitate fraud.
- Do not resell, sublicense, publish, or commercially exploit the service or its outputs unless a written agreement expressly permits it.
- Do not use automated systems in a way that imposes unreasonable load or circumvents access controls.
Your content and instructions
You retain ownership of prompts, files, and other material you lawfully submit. You grant Cleverfind a limited, non-exclusive licence to host, copy, process, transmit, and display that material only as reasonably necessary to provide, secure, support, and improve the service or comply with law.
You are responsible for ensuring that submitted material is accurate enough for your purpose and that you have all permissions needed to provide it. We may remove or restrict material that violates these Terms or creates security, legal, or operational risk.
AI-assisted features
AI outputs are generated probabilistically and may be inaccurate, incomplete, inconsistent, outdated, or unsupported. Similar prompts may produce different results. Outputs must be checked against primary sources and should not be the sole basis for an investment, legal, tax, accounting, or other consequential decision.
Your use of AI features is also governed by the AI Usage and Limitations Policy. Cleverfind may apply safety controls, model limits, or usage restrictions and may refuse requests that create legal, security, or market-integrity risk.
Data sources and third-party services
Company, market, broker, and derived data may be delayed, adjusted, incomplete, duplicated, mapped incorrectly, or affected by corporate actions and source revisions. Source dates and quality indicators should be reviewed before use.
Third-party services are governed by their own terms and privacy practices. Cleverfind does not control a broker, exchange, issuer, data source, model provider, hosting provider, or linked website and is not responsible for its independent acts, omissions, downtime, pricing, security, or content.
Plans, fees, and taxes
Cleverfind currently provides early-stage access without a public payment checkout. If paid plans are introduced, the price, billing period, taxes, included limits, renewal terms, and cancellation method will be shown before purchase and will form part of these Terms.
You are responsible for applicable taxes and for keeping billing information current. Refunds and cancellations are governed by the Refunds and Cancellation Policy and non-waivable consumer rights.
Cleverfind intellectual property
The service, software, interface, brand, compilation, original editorial content, and related materials are owned by or licensed to Cleverfind and are protected by applicable intellectual-property laws. Except for the limited right to use the service under these Terms, no right or licence is transferred to you.
Third-party company names, broker names, logos, filings, and market data remain the property of their respective owners. Their presence does not imply endorsement, partnership, or regulatory approval unless expressly stated.
Availability and changes
The service is provided on an as-is and as-available basis. We do not promise uninterrupted operation, error-free output, permanent storage, coverage of every security, or continued availability of a particular integration or feature.
We may maintain, modify, suspend, limit, or discontinue all or part of the service. Where reasonably practicable, we will provide notice of a material discontinuation affecting paid access or stored user content.
Suspension and termination
You may stop using Cleverfind at any time and may request account deletion. We may restrict or terminate access for material breach, unlawful use, security risk, non-payment when paid plans exist, a lawful direction, or conduct that harms users, third parties, or the service.
Terms that by their nature should continue after termination, including intellectual property, disclaimers, accrued payment obligations, liability limits, dispute terms, and lawful retention, will survive.
Warranties and limitation of liability
To the maximum extent permitted by law, Cleverfind disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, data accuracy, and investment outcome. Cleverfind does not guarantee profit, loss avoidance, tax treatment, model accuracy, or that information will meet your requirements.
To the maximum extent permitted by law, Cleverfind and its personnel will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss; loss of profit, opportunity, data, goodwill, or anticipated savings; or investment and trading loss arising from use of or inability to use the service.
Where liability cannot lawfully be excluded, aggregate liability arising from the service will not exceed the fees you paid directly to Cleverfind for the affected service during the twelve months before the event giving rise to the claim. Nothing excludes liability that cannot be excluded under applicable law, including liability arising from fraud, wilful misconduct, or non-waivable consumer rights.
Indemnity
To the extent permitted by law, you will indemnify Cleverfind and its personnel against third-party claims, losses, and reasonable costs arising from your unlawful use of the service, violation of these Terms, infringement of another person's rights, or submission of data you were not authorised to provide. This obligation does not apply to the extent a claim was caused by Cleverfind's own breach, negligence, or misconduct.
Events beyond reasonable control
Cleverfind is not responsible for delay or failure caused by events beyond reasonable control, including internet or cloud outages, cyberattacks, exchange or broker disruption, source-data failure, power failure, natural disaster, epidemic, labour disruption, civil disorder, governmental or regulatory action, or failure of a critical third-party service. This clause does not remove obligations that cannot be excluded by law.
Governing law and disputes
These Terms are governed by the laws of India. Before commencing formal proceedings, you and Cleverfind should attempt in good faith to resolve a dispute through the grievance process, unless urgent relief or applicable law permits otherwise.
Any unresolved dispute is subject to the jurisdiction of the courts competent under applicable Indian law. Nothing in these Terms prevents a consumer from using a forum or remedy available under non-waivable consumer-protection law.
General terms
If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary and the remaining provisions will continue. A delay in enforcing a right is not a waiver. You may not assign your account or these Terms without written consent; Cleverfind may assign them as part of a reorganisation or transfer of the service, subject to applicable law.
We may update these Terms for legal, security, operational, or product reasons. The effective date identifies the current version. Material changes will receive reasonable notice where required. Continued use after the effective date constitutes acceptance where permitted by law.
